Definitive Feasibility Study (DFS) and Project Scale
Filed a positive DFS for the Smackover, Southwest Arkansas (SWA) project demonstrating an initial nameplate production capacity of 22,500 tonnes per year of battery-quality lithium carbonate and supporting a longer-term objective of >100,000 tonnes per year in Texas through multiple projects. Base project CapEx per the DFS is approximately $1.5 billion.
Regulatory Progress and DOE Grant
Obtained final regulatory approval from the Arkansas Oil and Gas Commission for the Reynolds Brine Unit (site for initial SWA phase). The project benefits from a $225 million DOE grant that has triggered a NEPA environmental assessment led by DOE; NEPA draft is complete and the process is expected to finish in Q2 2026.
Binding Offtake Agreement and Offtake Targeting
Signed first binding commercial offtake with Trafigura for 8,000 metric tons per year of battery-quality lithium carbonate for 10 years beginning at commercial production. This represents over 40% of the initial 22,500 tpy capacity and supports the JV’s target to have ~80% of initial production contracted prior to FID.
Strong Institutional Capital Raise and Cash Position
Completed an upsized $130 million underwritten public offering in October 2025 (net proceeds ~$122.2 million), resulting in cash of $152.3 million and working capital of $147.6 million at quarter end versus $31.2 million and $27.5 million the prior year, respectively (cash up ~388% year-over-year).
Export Credit Agency and Bank Interest for Project Debt
Smackover Lithium JV received indications of interest for over $1 billion in project financing led by three major ECAs (including US Ex-Im and Export Finance Norway) and supported by commercial banks. The JV is targeting approximately $1.1 billion of senior secured limited-recourse project debt.
Technical Progress and East Texas Resource
Released a maiden inferred resource report for the Franklin project (East Texas) showing high brine lithium grades. Continued drilling, well re-entry, and process test work planned with a targeted preliminary feasibility study (PFS) for Franklin within the next 12 months.
Operational Demonstration Plant and Workforce Development
Continued operation of a multi-year DLE and carbonation demonstration plant (operating ~6 years) providing process data, refinement, operator training and a unique commissioning/operations training asset to de-risk commercial start-up efforts.
