The company states: “Super Micro (SMCI) confirmed that an independent investigation is underway regarding the March 2026 indictment of three individuals who were associated with the Company at that time. As previously disclosed, Supermicro was informed on March 19, 2026 that two employees and a contractor were indicted in connection with an alleged conspiracy to commit export-control violations. Supermicro is not named as a defendant in the indictment and is not accused of any wrongdoing. The Company took swift action, and the three individuals no longer have any relationship with Supermicro. The investigation is being led by two independent members of the Company’s Board, Scott Angel, Lead Independent Director, and Tally Liu, Chair of the Board’s Audit Committee, who will report their findings and conclusions to the other four independent members of the Board. The independent directors have not set a definitive timetable for the investigation. The Company will provide an update when the investigation is complete and does not intend to comment further until that time. Concurrent with the initiation of the independent investigation, Supermicro initiated an internal review of its Global Trade Compliance Program. The internal review is being led by Yitai Hu, General Counsel and Senior Vice President. DeAnna Luna, the Company’s newly appointed acting Chief Compliance Officer, now reports to the General Counsel. All findings will be reported directly to the independent directors of the Board.”
