Omeros (OMER) announced that it entered into a securities purchase agreement with Polar Asset Management Partners to sell approximately $22M of its common stock in a registered direct offering. Under the terms of the securities purchase agreement, the company has agreed to sell 5,365,853 shares of its common stock at a price of $4.10 per share, which represents a premium of approximately 14% to the closing price of the company’s common stock on the date of the securities purchase agreement. The gross proceeds to the company from the registered direct offering are estimated to be approximately $22M, before deducting the placement agent’s fees and other estimated offering expenses. The offering is expected to close on or about July 28, subject to the satisfaction of customary closing conditions. D. Boral Capital LLC is acting as exclusive placement agent for the offering.
