MSA Safety (MSA) announced it has entered into a definitive agreement to acquire Autronica Fire and Security for approximately $555M. Founded in 1957, Autronica is a designer, manufacturer, and supplier of fire detection, gas detection, and alarm systems. Autronica serves the critical infrastructure, energy, and maritime sectors. Based in Trondheim, Norway, Autronica employs approximately 500 employees globally. The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions and regulatory approvals, and will be funded through a combination of cash on hand and borrowings under MSA’s existing credit facility. The acquisition is expected to be accretive to growth and margins, with synergies. Autronica is a capital-efficient business that generates significant free cash flow and is expected to be accretive to adjusted EPS in the first full year of ownership. In 2025, the company recorded approximately $160M in sales with an adjusted EBITDA margin of approximately 20%.
