Diana Shipping announces results of 2025 Annual Meeting

Diana Shipping (DSX) announced that the Company’s Annual Meeting of Shareholders was duly held on May 28, in a virtual format only via the Internet. Broadridge Financial Solutions acted as inspector of the Meeting. At the Meeting, each of the following proposals, which are set forth in more detail in the Notice of Annual Meeting of Shareholders and the Company’s Proxy Statement sent to shareholders on or around April 29, was approved and adopted: The election of three Class II Directors of the Company, to serve until the Company’s 2028 Annual Meeting of Shareholders. The approval of the appointment of Deloitte Certified Public Accountants as the Company’s independent auditors for the fiscal year ending December 31. The approval of the amendment to the Company’s Amended and Restated Articles of Incorporation authorizing the Board of Directors to effect one or more reverse stock splits of the Company’s issued Common Shares, in the aggregate ratio of not more than 1-for-100, with the exact ratio to be determined by the Board of Directors in its discretion
