Cheer Holding files to sell 8M units

Cheer Holding (CHR) is offering on a best-efforts basis up to 8M units with each unit consisting of one Class A ordinary share, or, in lieu thereof, a pre-funded warrant to purchase one Class A share; one series A warrant to purchase one Class A share; and one series B warrant to purchase one Class A share. Cheer is offering the units at the assumed public offering price of $1.50 per unit.
