Amphenol (APH) announced a definitive agreement to acquire Trexon for approximately $1B in cash, subject to customary post-closing adjustments. Headquartered in Boston, Massachusetts and with facilities in the U.S. and the U.K., Trexon is expected to have 2025 sales and EBITDA margins of approximately $290M and 26%, respectively. The transaction is subject to certain regulatory approvals and other customary closing conditions. Amphenol will finance the transaction with cash on hand and expects to close in the fourth quarter of 2025. The acquisition will be included in the harsh environment solutions segment and is expected to be accretive to Amphenol’s earnings per share in the first year post closing.
