William Blair analyst Jason Ader has reiterated their bullish stance on VRNS stock, giving a Buy rating today.

Jason Ader has given his Buy rating due to a combination of factors that highlight Varonis’s successful transition to SaaS and its strengthening fundamentals. He points to the fourth quarter as evidence of solid execution, with total ARR surpassing expectations on the back of strong SaaS growth (excluding conversions) and a notable improvement in on‑premises customers moving to the cloud platform. The sizable volume of on‑premises ARR converted to SaaS in the quarter suggests prior customer hesitation was largely timing-related, and that the formal end‑of‑life announcement for the legacy product effectively accelerated remaining holdouts. Revenue and operating margins also topped consensus, reflecting better renewal dynamics and more predictable conversion activity.
At the same time, Ader views the new KPI disclosure framework as an important step toward improving transparency and helping investors separate the “core” SaaS growth story from the noise of the shrinking on‑premises base. Although management’s 2026 outlook includes a modest total ARR growth target and a temporary hit to contribution margin and free cash flow from the on‑premises end‑of‑life, he interprets these as largely one‑time, transitional headwinds. In his assessment, the quarter reinforced that SaaS is firmly established as Varonis’s growth engine, that the conversion cycle is in its later stages, and that the product portfolio is expanding meaningfully into cloud workloads, databases, email, and AI security. Taken together, these elements support his view that the stock offers an attractive long‑term risk‑reward profile, justifying a Buy rating despite near‑term volatility.

In another report released today, Barclays also maintained a Buy rating on the stock with a $38.00 price target.
