Gold Candle closed its previously announced acquisition of Fokus Mining Corporation through a statutory plan of arrangement, purchasing all outstanding Fokus common shares at $0.26 per share. The deal values Fokus at approximately $63 million in equity and results in Gold Candle owning 100% of Fokus, with Fokus shares expected to be delisted from the TSX Venture Exchange, OTCQB, and Frankfurt’s Open Market.

Alongside the acquisition, Gold Candle completed a $65 million private placement, increasing its financial capacity to advance exploration and development activities. Following the financing, the company reports having roughly 230 million common shares outstanding, underscoring a significantly expanded capital base to support its Canadian growth strategy.

The Fokus transaction brings the Galloway project and a broader Abitibi land package into Gold Candle’s portfolio, complementing its existing control of the historic Kerr-Addison gold mine claims in Ontario. Integration of these assets, along with ongoing exploration, will be subject to typical regulatory and operational risks outlined under Canadian securities “early warning” rules.

The company also announced the appointment of Kerry Sparkes as Senior Vice President, Exploration, effective April 27, through a LinkedIn update. Sparkes brings 37 years of industry experience, including key roles in the development of the Voisey’s Bay and Rainy River deposits and prior leadership as Vice President, Geology at Franco-Nevada.

Gold Candle characterized this senior hire as coming at a “pivotal time” as it advances its large undeveloped gold project in the Abitibi region. The addition of a seasoned exploration leader, combined with the Fokus acquisition and fresh capital, is likely to enhance the company’s ability to evaluate and de-risk its growing asset base.

Collectively, these developments position Gold Candle with a broader project pipeline, stronger balance sheet, and deeper technical leadership, which could support more efficient exploration planning and execution. Overall, it was a transformative week for the company as it consolidates assets and bolsters management to pursue its Canadian gold exploration strategy.
