Kyowa Kirin International plc acquired all outstanding Company Ordinary Shares at the Effective Time, following the provisions of the Scheme of Arrangement and England and Wales laws. Consequently, shareholders no longer have rights in the Company Ordinary Shares, retaining only the rights provided by the Scheme of Arrangement, which includes the entitlement to the Merger Consideration.
