YPF Sociedad Anonima ( (YPF) ) has shared an update.

On April 8, 2026, YPF’s board released its proposals for the April 30, 2026 general and special shareholders’ meetings, covering approval of the 2025 annual and consolidated financial statements and formal designation of government and social security representatives to sign the minutes. The board also recommends appointing Deloitte & Co. S.A. as external auditor for the 2026 financial statements and endorses 2025 remuneration of Ps. 10.85 billion for directors and Ps. 470 million for the Supervisory Committee, despite a computable loss.

For accumulated 2025 results, the board proposes releasing existing investment and treasury share reserves, absorbing Ps. 1.10 trillion in retained losses, and creating new reserves of Ps. 38.47 billion for treasury share buybacks tied to employee share-based compensation and Ps. 8.42 trillion for investments. It further seeks a shareholder waiver of preemptive rights so that treasury shares can be used to fund a new 2026 long-term share-based compensation program and future similar plans, potentially affecting capital structure and aligning employee incentives with shareholder interests.

The most recent analyst rating on (YPF) stock is a Hold with a $45.00 price target. To see the full list of analyst forecasts on YPF Sociedad Anonima stock, see the YPF Stock Forecast page.

Spark’s Take on YPF Stock

According to Spark, TipRanks’ AI Analyst, YPF is a Neutral.

The score is held back primarily by volatile financial results (2025 net loss, inconsistent free cash flow, and rising leverage). Offsetting this are supportive technical momentum and a constructive earnings-call outlook with clear 2026 targets and expected leverage improvement, while valuation is penalized by a negative P/E and no dividend yield provided.
