On February 24, 2026, XWELL, Inc. entered into a securities purchase agreement with an accredited investor for a private placement of Series H Convertible Preferred Stock and common stock warrants, with initial closings completed on February 27 and March 3, 2026, raising aggregate gross proceeds of $31.3 million. The company issued 31,333 Series H preferred shares, initially convertible into up to 66.7 million common shares, plus warrants for an equal number of common shares, and also granted the exclusive placement agent additional five-year warrants, underscoring extensive potential equity dilution alongside a significant capital infusion.

In connection with the financing, XWELL relied on private offering exemptions from SEC registration and, on February 26, 2026, filed a Certificate of Designations in Delaware to create the new Series H preferred stock class. Using $9 million of the private placement proceeds, the company closed a repurchase on March 2, 2026 of previously issued Series G preferred shares, related notes and warrants from earlier investors, and on March 4, 2026 filed a Certificate of Elimination to remove the Series G preferred designation, simplifying its capital structure and retiring legacy obligations.
