XP Factory PLC ( (GB:XPF) ) has issued an update.

XP Factory has disclosed routine dealings under its Share Incentive Plan, under which eligible employees buy ordinary shares via monthly salary deductions and receive an equivalent number of free matching shares. The scheme, administered by MUFG Group as trustee, is structured to be tax-advantaged and is part of the company’s effort to promote broad-based equity ownership.

On 13 April 2026, CEO Richard Harpham, COO Andrew Jacobs, Chief Marketing and Content Officer Sarah Lloyd-Baker and Chief Legal and People Officer and Company Secretary Joanne Briscoe Brown each bought 1,154 partnership shares at 13p and received 1,154 matching shares. The transactions marginally increased their beneficial holdings, which now range from about 0.05% to 0.79% of XP Factory’s issued share capital, reinforcing management’s equity alignment without materially altering overall ownership structure.
