On April 20, 2026, Workday, Inc. amended and restated its Executive Severance and Change in Control Policy to enhance benefits for executives experiencing a qualifying termination outside a change in control context. The company shortened the exclusion window for equity awards from 12 months to three months before termination for purposes of acceleration, potentially making more recent equity grants eligible for severance-related vesting.
Workday also revised the calculation of lump-sum cash payments so that eligible executives terminated after a fiscal year-end but before bonus payout receive a prior-year bonus payment assuming 100% individual performance and actual company results, net of any partial bonus already paid. In addition, they will receive a pro-rated lump sum equal to one times their target bonus for the year of termination, preserving overall severance economics while leaving all other policy provisions unchanged.
