The latest announcement is out from Wise PLC Class A ( (GB:WISE) ).

Wise Group plc has disclosed its current share capital and voting rights structure, confirming it has over 1.02 billion Class A ordinary shares and about 204 million Class B ordinary shares in issue, with none held in treasury. The Class A shares carry one vote each, while the Class B shares cumulatively confer more than 1.83 billion votes, taking the total theoretical voting rights to just over 2.86 billion across both classes.

The fintech group highlighted that, based on these aggregate voting rights, Chief Executive Officer Kristo Käärmann would otherwise control more than 50% of the company’s votes via his combined Class A and Class B holdings. However, under Wise’s Articles of Association, his voting power is contractually capped at one vote below 50% while he remains CEO, resulting in total exercisable voting rights of about 2.44 billion and effectively limiting his control while preserving the designed governance balance for other shareholders.
