Winvia Entertainment PLC has disclosed a restructuring of a significant shareholder holding, as Keyplay Holdings Limited, the vehicle used by CEO Mihai Manoila and other senior executives, distributes its entire 14,384,330-share stake in the company to the individual beneficial owners via dividends in kind. The move reallocates stakes to three executive-controlled entities, with Chranel Limited receiving 8,270,270 shares and Rems Holding Limited and Yaya Global Tech Limited receiving 3,057,030 shares each, while the aggregate executive shareholding in the company remains unchanged, signalling an internal reorganisation of ownership rather than a change in overall insider exposure.

According to the regulatory disclosure, the transaction includes the off-market transfer of 4,300,540 ordinary shares to a new entity linked to Manoila, correcting an earlier announcement that misstated the volume involved. The restructured holdings may enhance transparency around individual executive ownership and clarify governance around insider stakes, but do not alter the total level of management alignment with shareholders, meaning there is no direct dilution or change in control implied for external investors.
