The funds will be allocated to the exploration of the Thunder Bay Gold Project and general working capital. The acquisition of the project is still under review by the TSX Venture Exchange, and all subscribers have consented to the closing of the offering prior to final acceptance. The participation of certain directors and officers in the offering is considered a related party transaction but is exempt from certain regulatory requirements.
