Winking Studios Limited announced a share purchase agreement to acquire all issued and outstanding shares of Quebec-based Studios Ampera Inc., a North American art outsourcing and game development studio. The deal, valued at CAD525,010 in cash plus 10 million new ordinary shares, will see Ampera’s 18-strong team and operations become Winking’s initial North American platform.
On completion, Ampera founder and former Keywords Studios senior leader Claude Bordeleau will join Winking Studios as Chief Revenue Officer, overseeing global commercial strategy across Western markets. The Board expects the acquisition to be accretive to revenue from FY2026, supporting Winking’s long-standing strategy to expand its presence in Western markets and enhance customer engagement with leading game developers and publishers.
As part of the broader North American expansion strategy, Winking may issue up to 35 million additional ordinary shares contingent on achieving cumulative adjusted EBITDA and share price targets through 2031. The transaction is framed as a key step in adding experienced Western leadership, improving proximity to customers in North America and Europe, and creating a scalable platform for organic growth and selective M&A in Western markets.
