On January 13, 2026, Willow Lane Acquisition Corp. and Boost Run Inc. amended their existing business combination arrangements, extending the deadline to complete the merger to June 30, 2026 and dropping a requirement that the post-closing Pubco board have a Nasdaq-style majority of independent directors, while also revising the earnout structure so that Willow Lane’s sponsor will be eligible for up to 1,125,000 Pubco Class A shares and Goodrich ILMJS LLC for up to 1,968,750 shares, contingent on share-price performance over three years. On the same date, Pubco agreed a performance-based consulting deal with Willow Lane CEO and chairman B. Luke Weil for up to 336,000 Pubco shares, and Willow Lane, Boost Run and Craig-Hallum Capital Group struck a letter agreement cutting Craig-Hallum’s deferred IPO underwriting fee by $500,000 in exchange for a participation right in future Pubco financings, steps that collectively rebalance incentives among sponsors, investors and intermediaries as the parties work toward closing the SPAC merger.
