As these counterparties are subsidiaries of controlling shareholder Shanghai YCT, the arrangements are classified as continuing connected transactions under Hong Kong listing rules and their annual caps must be aggregated, but the relatively small size of the deals, with applicable percentage ratios below 25% and annual caps under HK$10 million, means they only trigger reporting and announcement obligations rather than independent shareholder approval; directors with interests in Shanghai YCT abstained from voting on the board resolutions approving the agreements, limiting potential conflicts of interest.
