Wesco International ( (WCC) ) has provided an update.

On February 27, 2026, WESCO Distribution completed a private offering of $650 million in 5.250% senior notes due 2031 and $850 million in 5.500% senior notes due 2034, both issued at par and governed by an indenture with U.S. Bank Trust Company as trustee. The unsecured, unsubordinated notes are guaranteed by Wesco International and Anixter Inc., pay interest semi-annually beginning October 15, 2026, and include standard change-of-control repurchase provisions and covenants limiting liens, restricted payments, asset sales, and mergers.

The offering generated approximately $1.48 billion in net proceeds, which the issuer plans to use to redeem its outstanding 7.250% senior notes due 2028 on or after June 15, 2026 and to repay portions of its asset-based and receivables financing facilities. Ahead of that redemption, Wesco intends to temporarily pay down borrowings under its receivables securitization and ABL facilities and then redraw to fund the 2028 note redemption, effectively extending its debt maturities and potentially lowering its overall cost of capital while tightening creditor protections through the new indenture terms.
