WeRide Raises 2025 Cap on Connected Mapping and Data Services Deal

WeRide Inc. has revised the 2025 annual cap for its continuing connected transactions under a mapping and data services procurement framework with related party Guangzhou Yuji, raising the limit from RMB65 million to RMB69 million after management determined the original cap would be insufficient. The Audit Committee approved the revision in November 2025, later ratified by the Board, with actual 2025 spending reaching RMB66.8 million, triggering reporting, announcement, and annual review requirements under Hong Kong listing rules but exempting the company from circular and independent shareholder approval obligations.

The framework agreement, effective from the company’s listing date through December 31, 2027, covers high-definition map production and data services essential to WeRide’s autonomous driving operations. The adjustment of the 2025 cap, set alongside existing caps of RMB70 million for 2026 and 2027, underscores continued demand for mapping and data services while highlighting ongoing governance and compliance oversight for connected-party arrangements in its supply chain.
