The latest announcement is out from Wayfair ( (W) ).

On May 13, 2026, Wayfair Inc. announced that subsidiary Wayfair LLC plans a private offering of $400 million in senior secured notes due 2034, with the proceeds earmarked to repay part of the company’s existing debt and for general corporate purposes. The notes will be guaranteed on a senior secured, first-lien basis by Wayfair and certain U.S. subsidiaries, and will be sold exclusively to qualified institutional buyers under Rule 144A and to non-U.S. investors under Regulation S.

The capital move follows Wayfair’s May 1, 2026 repurchase of about $46 million of its 3.50% convertible senior notes due 2028 for roughly $73 million plus interest, leaving $444 million of that series outstanding. Together, the proposed new issuance and the recent buybacks underline an active liability management strategy aimed at reducing near-term maturities and managing potential equity dilution, with possible implications for liquidity in its convertible notes and the trading dynamics of its common stock.

The most recent analyst rating on (W) stock is a Buy with a $90.00 price target. To see the full list of analyst forecasts on Wayfair stock, see the W Stock Forecast page.

Spark’s Take on W Stock

According to Spark, TipRanks’ AI Analyst, W is a Neutral.

The score is held down primarily by balance-sheet stress (deeply negative equity and high debt) despite improved operating results and strong TTM free cash flow. Technicals are also weak with the stock below major moving averages, while valuation is unattractive due to losses (negative P/E). Offsetting these risks, the latest earnings call reinforced improving profitability and guided further EBITDA margin expansion, though macro/category headwinds and near-term margin/FCF pressure remain.
