On May 18, 2026, Wayfair LLC issued $400 million of 7.125% senior secured notes due 2034, with semi-annual interest and a suite of covenants limiting additional indebtedness, dividends, certain investments and asset sales, while providing various redemption options and change-of-control protections. The proceeds are earmarked to reduce existing debt and for general corporate purposes, tightening the company’s capital structure under an indenture that also stipulates events of default and potential covenant fall-away if the notes achieve investment-grade ratings.
Separately, on May 14, 2026, Wayfair called for the redemption of all outstanding 3.50% convertible senior notes due 2028, setting a June 29, 2026 redemption date and allowing holders to convert during a specified period at an enhanced conversion rate. The move is expected to prompt conversions that may reduce future cash interest but could dilute existing shareholders, as unconverted notes will be redeemed for cash while converted notes will be partly settled in Class A common stock.
