Wanka Online Inc. has entered into new contractual arrangements among its subsidiary Wanka Huanju, operating entity Huanju Times and the registered shareholders of Huanju Times, primarily to add executive director and CEO Ms. Jiang as a shareholder of Huanju Times and to facilitate an expected RMB92.8 million capital injection into Huanju Times from the group. The new contracts, which replace existing arrangements on substantially the same terms, are intended to support Huanju Times’ operational needs and business expansion and to mitigate legal risks associated with single-shareholder companies, while preserving consolidation of the affiliated entities’ financial results into the group. As the arrangements involve substantial shareholders Mr. Gao and Ms. Jiang, they constitute continuing connected transactions, but the Hong Kong Stock Exchange has confirmed they remain covered by the company’s existing IPO waiver, exempting them from further announcement, independent shareholders’ approval, annual caps and term limits under Chapter 14A for as long as the listing and waiver conditions are met.
