Under the new terms, VS Media agreed to a one-off debt-to-equity conversion at US$74.70 per S T Meng share, with accrued interest to be settled through cash, waiver, or capitalization.
Following completion of the conversion on April 27, 2026, the principal on the note was fully satisfied and extinguished, eliminating S T Meng’s obligation to repay the debt in cash. As a result of this transaction, VS Media and its subsidiaries now collectively control 41.52% of the voting rights in S T Meng, significantly strengthening VS Media’s equity position and strategic influence in the investee company.
