On February 5, 2026, UACC executed an asset-backed securitization in which it sold approximately $274.9 million of subprime motor vehicle retail installment sales contracts to a depositor entity, which in turn transferred them to a newly formed securitization trust. The trust issued $225 million of fixed-rate asset-backed notes across multiple tranches and $100,000 of residual interest certificates, pledging the receivables as collateral, while UACC retained required risk retention interests and will continue to service the receivables for a monthly fee consistent with comparable transactions. The notes are obligations solely of the trust, insulating UACC and the depositor from direct liability, and the structure includes standard event-of-default protections for noteholders and an option for UACC to purchase the remaining trust assets once the receivables balance amortizes to 10% or less of the initial pool, providing funding flexibility and ongoing fee-based income for the company’s subprime lending platform.
