Vossloh AG has agreed a recommended cash offer for UK-listed Cordel Group PLC, valuing the rail-focused digital asset monitoring specialist at about £29 million, with shareholders to receive 12.4 pence per share in a court-sanctioned scheme of arrangement. The bid, made via subsidiary Vossloh Digital Solutions GmbH, implies premiums of up to 134% over recent trading prices and already has backing through irrevocable undertakings covering roughly 48.9% of Cordel’s issued share capital.

The acquisition is designed to accelerate Vossloh’s push into digital rail solutions by combining its global infrastructure footprint and laser inspection capabilities with Cordel’s LiDAR-based imaging and AI-driven rail analytics, already deployed at operators such as Amtrak and Network Rail. Cordel’s board, citing capital constraints, long and unpredictable procurement cycles and the advantages of Vossloh’s scale and resources, unanimously recommends the deal as the best route to unlock growth, de-risk operations and provide shareholders with an attractive cash exit at a significant premium.
