Additionally, the company has agreed to a debt settlement with certain directors, converting $118,666.60 of fees into 2,373,332 units to preserve cash and strengthen its balance sheet. Both transactions are considered related party transactions under MI 61-101 but are exempt from formal valuation and minority shareholder approval requirements.
