On April 16 and 17, 2026, Volato Group, Inc. entered into a series of share exchange agreements with Charcoal Hill Family Limited Partnership, Douglas Cole and Clearthink Capital Partners, LLC, all shareholders of M2i Global, Inc., a Nevada company whose stock trades on the OTCQB under the symbol MTWO. Under these agreements, Volato agreed to issue 5,407,499 Class A common shares, valued at an implied $0.2701 per share, in exchange for 48,044,912 M2i Global shares valued at an implied $0.0304 per share, with the unregistered Volato stock issued in a private placement to accredited investors under Securities Act exemptions and subject to a commitment by the company to register the resale of those shares within 60 days, underscoring Volato’s use of equity to acquire a sizable position in another public issuer while providing prospective liquidity to incoming shareholders.
