Volato Group ( (SOAR) ) just unveiled an update.

On July 28, 2025, Volato Group, Inc. entered into a Merger Agreement under which its Nevada subsidiary will merge with M2i Global, Inc., leaving M2i Global as a wholly owned subsidiary of Volato. The transaction remains subject to Volato shareholder approval at a special meeting scheduled for May 7, 2026, while a majority M2i Global stockholder approved the deal by written consent on April 18, 2026, and Volato has now released unaudited pro forma combined financials for the year ended December 31, 2025, including an assumed reverse stock split intended to support a future Nasdaq listing for the combined company.

The unaudited pro forma condensed combined statements illustrate how Volato and M2i Global’s financial position would have looked had the merger and related debt and equity moves closed earlier, though management cautions these figures are illustrative and may differ materially from actual post-closing results. As part of the proposed transaction, Volato is asking shareholders to approve a reverse stock split in a range of one-for-two to one-for-twenty-five, a step aimed at boosting the combined company’s share price and improving its ability to satisfy Nasdaq’s initial listing standards, which is a key consideration for existing investors and prospective market participants.

Spark’s Take on SOAR Stock

According to Spark, TipRanks’ AI Analyst, SOAR is a Neutral.

The score is held back mainly by elevated balance-sheet risk (negative equity) and weak technicals (below major moving averages with negative MACD). Offsetting factors include the 2025 operational rebound to profitability and positive free cash flow, plus a low P/E that suggests the stock screens as inexpensive based on current earnings.
