On April 10, 2026, VisionWave Holdings completed the acquisition of the intellectual property assets underlying the xClibre AI video intelligence platform from Costa Rica-based Dream America Marketing Services, paying 7,000,000 shares of common stock and a $6 million promissory note, with half the shares contingent on proof-of-concept results and Nasdaq shareholder approval. An independent valuation by BDO Consulting Group placed the xClibre IP at about $60 million and the board, supported by a fairness opinion, judged the deal fair to shareholders, while failure to achieve proof-of-concept within nine months would force VisionWave to return 60% of the xClibre subsidiary’s equity but allow the seller to retain the closing shares and note, underscoring both the strategic importance and execution risk of integrating a visual perception layer into VisionWave’s RF-centric defense sensing stack.
VisionWave plans to house the acquired portfolio in a dedicated subsidiary, xClibre Inc., and integrate its edge-first, “video-as-a-sensor” analytics across platforms such as the Argus counter-UAS system, autonomous interceptors, unmanned ground vehicles and fixed-site security deployments to deliver higher-confidence threat detection and reduced false positives. A structured proof-of-concept with an industry partner, targeted for completion in the second half of 2026, will test detection accuracy, false alert performance and multi-sensor integration, potentially paving the way for commercialization across defense, critical infrastructure and smart environment markets and reinforcing VisionWave’s positioning in heterogeneous AI sensing architectures.
