VisionWave Holdings ( (VWAV) ) just unveiled an update.

On March 11, 2026, VisionWave Holdings entered into a side letter with C.M. Composite Materials, Giza Zinger Even Mezzanine and Matania Moskovitch to clarify how existing investment, loan and settlement agreements interact and to confirm that C.M. Composite Materials’ obligations to Giza will not trigger defaults under VisionWave’s prior financing arrangements. The company also consented to all payments under the Giza settlement, agreed not to interfere with them or dilute C.M. Composite Materials’ shareholders until obligations are fully satisfied, and irrevocably committed at least $5 million in funding to support the Israeli firm’s working capital and a new facility outside Israel, reinforcing both its capital support and the priority of Giza’s claims.

The side letter further restricts VisionWave from exercising conversion rights under its note without Giza’s written consent, requires that overseas activities funded by the committed capital be conducted directly through C.M. Composite Materials, and bars both parties from structuring transactions that circumvent the settlement’s payment priorities. These measures tighten governance around the investment, provide greater security and transparency to Giza as a creditor, and could stabilize VisionWave’s relationship with its Israeli partner while shaping the timing and structure of any future equity-linked financings tied to the note.
