On February 20, 2026, VisionWave Holdings, Inc. agreed to acquire 51% of C.M. Composite Materials Ltd. from seller Matania Moskovich in exchange for 250,000 VisionWave common shares valued at $2.5 million, structured as a private placement with associated registration rights. VisionWave also committed to provide the target with a secured loan facility of up to $5 million, bearing 12% annual interest and maturing three years after the effective date, to fund working capital, global commercialization efforts, and potential establishment of a new facility outside Israel.

Composite Materials, potentially accelerating product certification and market entry while increasing its exposure to the performance and asset base of the Israeli composite materials business.
