On February 25, 2026, Visa Inc. authorized a $125 million deposit into its U.S. litigation escrow account under its retrospective responsibility plan, triggering dilution of its class B-1 and B-2 common stock predominantly held by U.S. financial institutions. As a result, effective February 26, 2026, the conversion rate for class B-1 shares to class A shares decreased from 1.5491 to 1.5475 and for class B-2 shares from 1.5108 to 1.5075, with as-converted B-1 share count reduced by about 7,880 to 7,482,834 and B-2 by about 392,202 to 181,412,788, an adjustment that has an earnings-per-share effect similar to repurchasing class A stock and reflects Visa’s continued use of its escrow structure to manage U.S. litigation exposure and capital structure dynamics for stakeholders.
