On March 31, 2026, Virtuix Holdings Inc. entered into an Exchange Agreement with Streeterville Capital, LLC, under which Streeterville acquired certain existing 2024 subordinated promissory notes from prior investors and exchanged them for a new $2.68 million Exchange Note bearing 6% interest and maturing on July 1, 2027. The deal refinances higher-interest 18% debt into longer-dated paper with structured monthly redemption rights from July 1, 2026, is guaranteed by subsidiary Virtuix Inc., and imposes customary covenants and default triggers, signaling a tightening of creditor protections and a more formalized capital structure for the company’s stakeholders.

The Exchange Note embeds an original issue discount and transaction expenses into its principal, and includes trading-price-linked redemption features and accelerated remedies upon trigger events or default. For resale and holding-period purposes under Rule 144, the Exchange Note is deemed issued as of December 10, 2024, allowing Streeterville to tack the original holding periods of the prior notes, which may facilitate future liquidity for the holder while preserving the company’s access to this form of financing.
