Victory Capital Holdings ( (VCTR) ) just unveiled an update.

On March 13, 2026, Victory Capital Holdings, Inc. approved a one-time grant of performance-based restricted stock awards to key executives, including CEO David C. Brown and other senior leaders, under its 2018 Equity Plan. The awards are intended to incentivize long-term stock price outperformance, align executive and shareholder interests, and support retention amid the company’s long-term transformational and growth objectives.

The Performance Shares can be earned over a seven-year period beginning March 15, 2026, based on achieving four stock price appreciation hurdles ranging from 50% to 100%, with vesting tied to sustained trading price levels and a one-year post-vesting holding requirement. Grant sizes, which total tens of millions of dollars at target, are calibrated to these ambitious hurdles and will be offset by reduced future time-vested grants, while unearned shares will be forfeited and, except under the CEO’s contract, generally do not continue vesting after employment termination.
