Vale SA ( (VALE) ) just unveiled an update.

Vale S.A. disclosed on April 28, 2026 the consolidated synthetic remote voting maps for its Annual and Extraordinary General Meetings scheduled for April 30, 2026, covering instructions received via B3’s central depository, its share registrar and the company itself. The maps reflect votes corresponding to roughly 46% of voting capital, excluding American Depositary Receipt holders whose positions will be represented separately by the depositary bank.

Shareholders largely supported approval of 2025 financial statements and profit allocation, 2026 management and Fiscal Council compensation, and competing slates for Fiscal Council seats. At the Extraordinary Meeting, high approval levels backed ratification of a new board member, the merger of wholly owned subsidiaries Baovale Mineração and CDA Logística into Vale without new shares, cancellation of nearly 100 million common shares with a related bylaws adjustment, and a BRL 500 million share capital increase via reserve capitalization, moves that streamline corporate structure and modestly strengthen the balance sheet without diluting shareholders.
