Vale SA ( (VALE) ) has issued an update.

On February 26, 2026, Vale’s Board of Directors met in Rio de Janeiro and by videoconference and unanimously approved a proposal to increase the company’s capital stock by R$500 million without issuing new shares. The increase will be made by capitalizing part of Vale’s Tax Incentive Reserve, primarily amounts related to reinvestment tax incentives released by Brazil’s SUDAM for the years 2011 to 2017 and a portion of a 75% corporate income tax reduction reserve from 2014.

Following this internal reclassification, Vale’s capital stock will rise to R$77.8 billion, while the number and structure of outstanding common and special preferred shares will remain unchanged. The move, which adjusts the company’s equity structure and bylaws without diluting existing shareholders, will still require approval at a General Shareholders’ Meeting scheduled for April 30, 2026.
