UGE International Ltd. is proceeding with a going-private transaction involving an acquisition by NOVA Infrastructure Fund II’s affiliate, where shareholders, excluding management, will receive C$2.00 per share. The company has mailed the necessary meeting materials to securityholders for the upcoming virtual meeting on July 31, 2024, where a vote on the special resolution will take place. The board unanimously recommends voting in favor of the arrangement, which must gain at least two-thirds approval from voting securityholders.
