On December 17, 2025, Udemy agreed to merge with Coursera in an all-stock transaction that would make Udemy a wholly owned subsidiary of Coursera, and a related registration statement and joint proxy statement/prospectus became effective on March 10, 2026 ahead of both companies’ April 9, 2026 special stockholder meetings to vote on the deal. Following the merger announcement, three lawsuits and multiple stockholder demand letters challenged the adequacy of disclosures in the joint proxy statement/prospectus, prompting Udemy and Coursera—while denying any wrongdoing—to issue detailed supplemental disclosures on board deliberations, valuation assumptions, financial projections and comparable analyses to reduce legal friction and avoid delays to closing the transaction.

The supplemental disclosures expand on Coursera’s M&A committee process, Udemy board discussions of alternative bidders, the proposed exchange ratio and pro forma ownership, as well as Morgan Stanley’s and Qatalyst’s valuation work using cash levels, revenue multiples, discounted cash flow analyses, precedent transaction premia and analyst price targets for both companies. By voluntarily enhancing transparency around the financial and strategic rationale for the merger, the companies aim to mitigate disclosure-based challenges, reassure investors about the fairness of terms and preserve momentum toward combining two major players in the online education sector.
