An update from U Power Limited ( (UCAR) ) is now available.

On March 18, 2026, U Power Limited entered into a Warrant Exchange and Cancellation Agreement with Sabby Volatility Warrant Master Fund Ltd., under which the fund surrendered 551,628 ordinary share purchase warrants issued in July 2025. All rights under these warrants, including reset provisions, were terminated as part of the transaction.

In consideration, U Power agreed to issue 3,000,000 Class A ordinary shares to the fund, with 500,000 shares to be delivered immediately via DWAC and the remainder subject to a 9.99% beneficial ownership cap. Following issuance, U Power will have 7,603,440 Class A and 368,044 Class B ordinary shares outstanding, simplifying its capital structure by eliminating derivative securities while increasing common equity held by a single institutional investor.
