Toyota ( (JP:6201) ) just unveiled an update.

Toyota Industries Corporation has cancelled the previously set March 9, 2026 record date for determining shareholders eligible to vote at an extraordinary shareholders’ meeting and has reset the record date to March 31, 2026. The change follows an extension of the tender offer period for its common shares by Toyota Asset Preparatory Co., Ltd., which is pursuing a transaction that could lead to a change in shareholder structure.

If the tender offer is successfully completed but does not result in the acquisition of all outstanding shares other than those held by Toyota Motor Corporation and the company itself, the offeror plans to seek an extraordinary shareholders’ meeting to approve a share consolidation and related amendments to the Articles of Incorporation, effectively moving the company toward going private. Should the tender offer fail, the extraordinary meeting will not be convened, underscoring that the governance and capital structure changes hinge entirely on the outcome of the bid and could materially alter minority shareholders’ positions.
