Toyota Industries has approved significant reductions in its capital reserve and retained earnings reserve to facilitate a major share repurchase from TOYOTA MOTOR CORPORATION as part of a broader privatization transaction led by Toyota Asset Preparatory, a subsidiary of Toyota Fudosan. Following a tender offer and a large-scale share consolidation designed to make Toyota Asset Preparatory and TMC the only shareholders, the company will cut more than ¥88 billion from capital reserve and fully eliminate over ¥17 billion of retained earnings reserve, reallocating these funds to other capital surplus and retained earnings brought forward to expand the distributable amount needed to complete the planned buyback.
The board resolution, dated May 12, 2026, sets the reductions to take effect on June 15, 2026, after the share consolidation becomes effective on June 3, subject to shareholder approval at an extraordinary meeting. By restructuring its equity accounts rather than raising new capital, Toyota Industries is clearing a legal and balance-sheet hurdle to executing the final leg of its going-private transaction, which will ultimately concentrate ownership in the Toyota group and remove the company from public markets, altering the risk and return profile for remaining minority stakeholders.
