On 22 December 2025, Hafnia Limited completed the previously flagged acquisition of TORM plc A shares from Oaktree Capital Management and its affiliates, a transaction disclosed by TORM in a 23 December 2025 company announcement and accompanying U.S. securities filing. Following the deal, Oaktree holds 26,425,059 A shares and Hafnia 14,156,061 A shares out of TORM’s 101,332,707 issued A shares, triggering a review under TORM’s articles of association to determine whether Oaktree has fallen below the one‑third ownership threshold. If that threshold date is confirmed, special governance features linked to Oaktree’s former stake—including the office of the B director, C share voting rights and certain limitations on TORM’s actions—will cease to apply, with the B and C shares to be redeemed and cancelled, potentially marking a significant shift in TORM’s shareholder influence dynamics and board structure.
