Tokyu Fudosan Holdings will introduce a share-based compensation plan using a trust for directors at six key subsidiaries, including Tokyu Land, Tokyu Community, Tokyu Livable, Tokyu Housing Lease, National Students Information Center and Renewable Japan, which will be renamed ReENE ENERGY and shifted directly under the holding company. The scheme links subsidiary directors’ pay to Tokyu Fudosan’s share price by granting points that convert into company shares, aligning their incentives with shareholders, promoting medium- to long-term value creation and unifying governance and performance focus across the group.

Under the structure, the holding company will fund a trust that acquires Tokyu Fudosan shares, with points awarded by each subsidiary and shares later delivered to eligible directors, while voting rights on shares held in trust will not be exercised. Any residual shares at the trust’s termination will be bought back and cancelled, and a portion of remaining cash donated to a public-interest organization, underscoring an emphasis on capital efficiency and governance-conscious incentive design for group executives.
