Times China Holdings, a Hong Kong-listed Chinese property developer, continues to navigate financial stress after its auditors issued disclaimers of opinion on its 2024 and 2025 consolidated results due to material going-concern uncertainties. The company has set out and is implementing a series of action plans aimed at resolving these audit qualifications and stabilising its capital structure.
The Group reports progress on its offshore debt restructuring, with sizeable portions of zero-coupon mandatory convertible bonds converted into new shares, effectively reducing overall debt levels. It has also issued new senior notes to settle accrued interest in kind, conserving cash for operations, while soliciting creditor consent to amend covenants and waive potential defaults.
Alongside offshore measures, Times China is considering restructuring its onshore debts in the PRC and is in active talks with lenders over renewals, extensions, or further restructuring of borrowings. Management is also pursuing new financing, boosting property sales and collections, cutting administrative and capital costs, and exploring asset disposals to strengthen liquidity and support project delivery.
