TIM ( (TIMB) ) just unveiled an announcement.

TIM S.A. held its annual and extraordinary shareholders’ meetings on March 31, 2026, in Rio de Janeiro, with about 90% of its capital represented, including ADR holders participating via distance voting. Shareholders approved the 2025 management report and audited financial statements, confirming governance stability and the presence of key executives, board members, fiscal council members and independent auditors.

At the same meetings, investors endorsed the allocation of 2025 net profit of R$4.31 billion, directing funds to the legal and profit reserves and confirming a total of R$4.0 billion in interest on equity and interim dividends, partly already paid in 2025 and early 2026, with further payments scheduled for April 30 and June 30, 2026. Shareholders also approved board appointments, the composition and election of the fiscal council, management and committee compensation for 2026, and extended a long-standing cooperation and support agreement with Telecom Italia S.p.A., alongside a reform and consolidation of the company’s by-laws, signaling continuity in strategic alignment and corporate governance structures.
