Telecom Italia SPA ( (IT:TITR) ) has issued an update.

TIM reported a strong turnaround for 2025, with group revenues up 2.7% to €13.7 billion, EBITDA After Lease rising 6.5% to €3.7 billion and Net Debt After Lease falling to €6.9 billion, marking a return to consolidated profit of €519 million in the first full year after the NetCo sale. The net loss at TIM S.p.A. narrowed sharply, the board approved the 2025 financial statements and a sustainability report confirming all ESG targets were met, and called an April 15 shareholders’ meeting to vote on loss coverage, a new long‑term incentive plan, a share buyback, a reverse stock split and related bylaw changes.

The board will seek authorization to repurchase up to €400 million of shares, implement a 1‑for‑10 reverse stock split that will cut the number of outstanding shares to about 2.14 billion, and cancel any treasury stock without reducing share capital, moves that could support the stock’s tradability and capital structure. Operationally, TIM highlighted full sourcing of electricity from certified renewables in Italy, mirroring its Brazilian operations, and reinforced its focus on aligning management incentives with shareholder value creation through a new performance share plan and the renewal of the external audit mandate for 2028‑2036.
