Tietoevry’s 2026 Annual General Meeting in Espoo approved all board and Nomination Board proposals, including the 2025 accounts, discharge of directors, and an EUR 0.88 per-share dividend to be paid in two EUR 0.44 instalments in April and October. Shareholders also re-elected most board members, added Mikko Kettunen, confirmed Tomas Franzén as chair and Marianne Dahl as vice chair, and approved a mixed cash-and-share board remuneration structure.
The AGM endorsed Deloitte Oy as both auditor and sustainability reporting assurance provider for 2026, and approved amendments to the Articles of Association to rename the company Tieto Oyj and formalize the vice chair role in governance processes. It also updated the Shareholders’ Nomination Board charter, tightened board qualification criteria, and authorised the board to repurchase up to 10% of shares and to issue new shares and related instruments, enhancing capital management flexibility and aligning governance with Finnish Corporate Governance Code recommendations.
